Acquisition of the Water Resources Business of Panasonic Connect Co., Ltd.

Japan Radio Co., Ltd. (JRC) hereby announces that it has entered into a business transfer agreement with Panasonic Connect Co., Ltd. (Panasonic Connect) to acquire the water resources business operated by Panasonic Connect (the municipal water resources business and electric power water resources business, hereinafter collectively referred to as the “Business”).

The transfer of the Business is scheduled to be executed on April 1, 2027, following the completion of the necessary procedures.

Background and Purpose of the Acquisition

To date, JRC has contributed to the development of safe and secure social infrastructure in the fields of disaster prevention/mitigation and river information by providing various monitoring and control systems and communication technologies.

Panasonic Connect, on the other hand, has for many years developed its water resources business, including dam management systems and water-use management systems, and has accumulated strong technological capabilities and a wealth of delivery track records.

By acquiring the Business, we expect to combine:
  • The technologies and know-how in the water resources field cultivated by Panasonic Connect; and
  • The system and communication technologies as well as operational know-how that JRC has developed in the disaster prevention and river-related fields.
Through this integration, we aim to build a structure capable of delivering more advanced and highly reliable total solutions for comprehensive water resources management, including rivers, dams, and water-use facilities.

In doing so, we will further enhance our contribution to solving the challenges faced by our customers, including municipalities and electric power utilities, such as increasingly frequent and severe water-related disasters and aging infrastructure.

Details of the Business Acquisition

  • Transferor: Panasonic Connect Co., Ltd.
  • Transferee: Japan Radio Co., Ltd.
(1) Business to be transferred
   Municipal water resources business and electric power water resources business

(2) Main systems handled
　- Dam management systems
　- Water-use management systems
　- Telemetry and discharge warning systems
　- Flood-control telemetry systems, etc. (development and sales)

(3) Business scale (reference)
　  FY2025 sales: Approx. 2.4 billion yen
　　(Performance of the relevant business at Panasonic Connect Co., Ltd.)

Future Schedule

  • Date of business transfer agreement: November 4, 2026
  • Scheduled completion date of business transfer: April 1, 2027

Subject to the completion of the necessary procedures, we will proceed with preparations for organizational setup and business transfer in sequence.

Customer Support

Even after the completion of the Business transfer, JRC will place the highest priority on the continuity of existing contracts and services for current customers. JRC will work closely with Panasonic Connect to ensure a smooth and seamless transfer of the Business.
